Terms of Service

Effective date: October 20, 2026

Welcome to Ghost! Ghosts Inc. (“Ghost”, “we”, “us”, and “our”) is a business-to-business (B2B) marketplace that connects buyers and sellers of various goods and products (“Goods”) through its online platform and other services currently located at GHST.io (the “Services”).

Please read these Terms of Service (“Terms”) carefully, as these Terms govern your access and use of the Services. If you have any questions, comments, or concerns regarding these Terms or the Services, please feel free to contact us at:

Email: Legal@ghst.io
Address: 6300 Wilshire Blvd. Suite 1200, Los Angeles, CA 90048

When we use the word “you” in these Terms, it refers to any user, regardless of whether the user is a Seller or Buyer (as such terms are defined below), while if we use one of those specific terms, it only applies to that category of user.

The Services are intended solely for commercial and business use by merchants, resellers, distributors, brands, and other commercial enterprises. Ghost does not sell Goods to consumers for personal, family, or household purposes, and nothing in these Terms shall be construed to create any consumer protection rights or obligations under any applicable consumer protection law. By registering for an Account, you represent and warrant that you are accessing and using the Services solely for commercial or business purposes and not as a consumer.

These Terms are a binding contract between you and Ghost. Your use of the Services in any way means that you agree to these Terms (as may be updated or amended from time to time), and these Terms will remain in effect while you use the Services. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization’s or entity’s behalf and to bind them to these Terms (in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that organization or entity).

These Terms include the provisions in this document as well as those in the Privacy Policy, which sets out how we use information we collect from you when you access, visit, or use the Services.

Upon registering for and using the Services, you understand that your use of or participation in certain aspects of the Services will also be subject to additional policies, rules and/or conditions (“Additional Terms”), which are incorporated herein by reference, and you understand and agree that by using or participating in any such Services, you agree to also comply with any and all Additional Terms. The Additional Terms include any Buyer-specific terms set forth in a Ghost Buyer Agreement (“Buyer Terms”) and any Seller-specific terms set forth in a Ghost Seller Agreement (“Seller Terms”) that apply to your use of the Services in your capacity as a Buyer or Seller, respectively. Such Buyer Terms or Seller Terms will include, where applicable, important information about the services provided to you and any charges, taxes, and fees that may apply.

These Terms include information about future changes to these Terms, limitations of liability, a class action waiver, and resolution of disputes by arbitration instead of in court. YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE TERMS HEREIN; IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY FINAL AND BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Will these Terms ever change?

We are constantly working to improve our Services, so these Terms and/or our Services may change from time to time. We reserve the right to revise, update, modify, or otherwise change the Terms at any time in our sole discretion, but if we do, we will place a notice of our changed Terms on the Services located at GHST.io, and send you an email to the email address you provide to us. After placing the notice and/or sending you an email, you will be deemed to have received notice. Such updates to these Terms shall be effective immediately upon posting of the revised or updated Terms on the Services. If you do not agree with the updated Terms, your only recourse is to cease using the Services. YOU ACKNOWLEDGE AND AGREE THAT IT IS YOUR RESPONSIBILITY TO REGULARLY REVIEW THESE TERMS, ENSURE THAT YOUR EMAIL ADDRESS AND ACCOUNT INFORMATION IS ACCURATE AND UP TO DATE, AND THAT YOUR CONTINUED USE OF THE SERVICES IN ANY WAY AFTER SUCH MODIFICATION TO THE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE MODIFIED TERMS AND ALL CHANGES THERETO.

What are the basics of using Ghost?

Creating an Account

To access the Services, you will be required to apply for an Account (as defined below) and provide us with certain information or data, such as your contact information. Such required information will vary by account type. Ghost offers two types of “Accounts”:

  1. a “Buyer Account” for buyers who purchase Goods through the Services (each, a “Buyer”); and

  2. a “Seller Account” for sellers who offer to sell and/or sell their Goods through the Services (each, a “Seller”).

For more information on Buyer Accounts and Seller Accounts, please see Ghost’s Buyer Terms and Seller Terms, as applicable.

You promise to provide us with accurate and complete registration information about yourself (or the organization or entity for which you are authorized to represent in registering an Account), regardless of the account type you sign up for, and agree to keep the information up to date.

In creating an Account, you may be required to create a user I.D. and password that will be associated with your Account. You may not:

  1. select or use as a user I.D. a name of another person with the intent to impersonate that person;

  2. use as a user I.D. a name subject to any rights of a person other than you without appropriate authorization; or

  3. use as a user I.D. a name that is otherwise offensive, vulgar, obscene, or otherwise inappropriate or objectionable.

Once your Account is created, we will provide you with available access privileges that permit you to access and manage your Account on the Services. You may not share your Account, username or password with anyone, and you must protect the security of your Account, username, password and any other access tools or credentials. You will use best efforts to prevent any unauthorized use of the Service, you will promptly notify us in writing of any unauthorized use that comes to your attention, and you will provide all reasonable cooperation to prevent and terminate such unauthorized use, and fully cooperate with us to investigate and mitigate such unauthorized use, including providing all relevant records and information.

You may not assign or transfer your account to anyone else without our prior written permission.

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL ACTIVITY CONDUCTED UNDER, OR ASSOCIATED WITH, YOUR ACCOUNT, WHETHER AUTHORIZED BY YOU OR NOT, AND THAT WE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM UNAUTHORIZED USE OF YOUR ACCOUNT.

Verification Process

To uphold the quality of Sellers, Buyers, and Goods on the Services, if you want to become a Seller or Buyer, you must specifically apply for a Seller Account or a Buyer Account (as the case may be) when you register for an Account on the Services.

If you apply for a Seller Account or Buyer Account through the Services, prior to granting you access, we will conduct a validation process to verify that you meet our requirements to buy and/or sell (as applicable) Goods through the Services (the “Platform Requirements”). This validation process may include, but not be limited to, any or all of the following: requiring you to provide government issued ID if you are an individual, and business registration documents and Tax ID numbers if you are a business; SSN/EIN; proof of address; certificates of good standing; import/export licenses; third-party know your customer (KYC) and Anti-Money Laundering (AML) Verification to verify identity against sanction lists and databases; trade references; bank reference letters; credit reports; financial information; chain of title; product certifications; chain of custody documentation to prove authenticity of Goods if you are a Seller; links to verified social media accounts; and/or other authenticated online marketplace accounts, or other information about your business and goods; and/or any other validation methods or eligibility criteria that we may require or implement from time to time in our sole discretion, including those necessary for tax reporting, compliance, and fraud prevention.

We reserve the right to determine, in our sole discretion, whether you meet the Platform Requirements. If we determine that you do not meet the Platform Requirements, you will not be permitted to create an Account.

Subject to validation and approval of your Account in accordance with this section, and subject to your compliance with these Terms and the Buyer Terms or Seller Terms (as applicable), we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable right to receive, access and use the Services for purposes of selling or buying Goods (as applicable) through the Service.

After we have successfully validated that you meet the Platform Requirements, we will activate your Account, which will enable you to complete your Account registration and access the Services for purposes of selling or buying Goods (as applicable).

Notwithstanding your verification and successful registration of an Account, we may suspend or terminate your Account, and may suspend, limit, or revoke your limited license set forth in this section, at any time for any reason and without notice in our sole discretion.

What about messaging?

As part of the Services, you may receive communications from Ghost through the Services or via email or text. When signing up for the Services, you will be able to adjust your preferences for our communication cadence with you, including to stop receiving messages. However, certain transactional or legally binding communications (such as notices about your sales or purchases on the Services (e.g., status updates), and changes to these Terms or security alerts) may still be sent and cannot be opted out of.

Are there restrictions in how I can use the Services?

You agree that you will only use the Services in accordance with these Terms and will comply with all laws that apply to you, your use of the Services, and your actions and omissions that relate to the Services. Without limiting the foregoing, you represent and warrant that you will not use the Services for any illegal, fraudulent, counterfeit, or infringing activity. If your use of the Services is prohibited by applicable laws, then you are not authorized to use the Services, as we cannot and will not be responsible for your use of the Services in a way that breaks the law.

  5. attempts, in any manner, to obtain the email, password, or other security information from any other user;

  6. attempts, in any manner, to deal directly with the buyer or seller, as applicable, in any transaction conducted;

  7. violates the security of any computer network, or cracks any passwords or security encryption codes;

  8. runs mailing list, listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure);

A violation of any of the foregoing, including encouraging or enabling a third party to do any of the foregoing, is grounds for immediate suspension or termination of your Account and your right to use or access the Services, removal of listings, and forfeiture of any amounts owed to you. Ghost will have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. The foregoing may involve fully cooperating with law enforcement authorities in prosecuting users who violate these Terms, which Ghost reserves the right to do, and to involve and share information with law enforcement, governmental agencies or other oversight bodies if Ghost suspects illegal activity may be taking place. Ghost further reserves the right to pursue any and all other rights and remedies Ghost may have in law or in equity.

We reserve the right, in our sole discretion, but do not undertake the obligation to:

  5. terminate or block your use of the Services for violating these Terms, in our sole discretion.

Ghost may withhold or delay payment of amounts owed to you or the shipment of Goods to you if we believe, in our sole discretion, that you have violated these Terms or the Buyer Terms or Seller Terms (as applicable), are engaged in suspicious or fraudulent activity, or if we receive any third party claims relating to your transactions.

It is expressly understood and agreed that since Ghost relies on Buyer and Seller representations and warranties to Ghost regarding, among other things, the legality, authenticity, and quality of Goods, and compliance with all applicable laws, Ghost does not and cannot independently verify such information and makes no guarantee, warranty, or representation that:

  1. any user of the Services is, or will remain, in compliance with applicable laws while using the Services;

  2. any Goods listed or sold through the Services are authentic, non-infringing, or otherwise compliant with applicable laws; or

  3. any transactions conducted through the Services will comply with applicable laws or be completed as agreed.

What are your rights in the Services?

You understand that Ghost owns the Services. You acknowledge and agree that, as between you and Ghost, all rights, title, and interest in and to the Services, including all software, products (excluding the Goods), technology, databases, works, business methods, and other intellectual property and moral rights related thereto or created, used, or provided by Ghost, including any copies and derivative works of the foregoing, and all associated goodwill, are and shall remain the exclusive property of Ghost. Your rights in the Services are limited to a limited, revocable, non-exclusive, non-sublicensable, non-transferable right to receive, access and use the Services solely for purposes of selling or buying Goods (as applicable) through the Service, and you shall not acquire any right, title, or interest in or to any Ghost intellectual property, except for the limited license(s) expressly granted herein. You will not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this section), create derivative works based on, or otherwise exploit any of the Services.

The materials displayed or performed or available on or through the Services, including, but not limited to, design, layout, “look and feel,” ideas, processes, software, text, media, graphics, data, articles, photos, images, illustrations and any other content available on the Services (all of the foregoing, the “Content”) and Ghost’s trademarks, logos, and brand elements (“Marks”) are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you will not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, commercialize or otherwise exploit for any purpose any Content or the Marks not owned by you, (a) without the prior written consent of the owner of that Content, or (b) in a way that violates someone else’s (including Ghost’s) rights.

Subject to these Terms, we grant each user of the Services a worldwide, revocable, non-exclusive, non-sublicensable, non-assignable and non-transferable license to use (i.e., download and display locally) Content solely for purposes of using the Services. Use, reproduction, modification, distribution or storage of any Content for any purpose other than using the Services is expressly prohibited without our prior written permission. Even if the Services may provide users with certain functionalities that by their nature allow such users to copy or download certain Content, all the restrictions in this section still apply.

No rights or licenses are granted except as expressly and unambiguously set forth in these Terms and the Buyer Terms or Seller Terms (as applicable). You may provide suggestions, comments or other feedback to Ghost with respect to the Services (“Feedback”). Feedback, even if designated as confidential by you, shall not create any confidentiality obligation for Ghost notwithstanding anything else. You hereby assign and agree to assign to Ghost all right, title and interest in and to any Feedback.

You may not refer to Ghost, these Terms, or the existence of a business relationship between you and Ghost for any marketing or promotional purposes, without Ghost’s prior written consent.

Who is responsible for what you see and do on the Services?

Ghost cannot and does not control or verify the quality, safety, legality, or authenticity of any goods listed on the Services and relies on certain representations and warranties made by Sellers. Ghost expressly disclaims all responsibility for same. You agree that any transactions entered into through the Services are solely between Buyers and Sellers, and that Ghost is not responsible for, and shall have no liability in connection with, any Goods or the acts or omissions of any Buyer or Seller.

You are solely responsible for your evaluation of, and decision to use, the Services, to buy or sell Goods through the Services, or to otherwise transact or engage in any business or communications on the Services, and you acknowledge and agree that your use of the Services is at your sole risk.

Any information or Content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such Content originated, and you will access all such information and Content at your own risk. We are not liable for any errors or omissions in that information or Content, any reliance you place on such Content, or for any damages or loss you might suffer in connection with it.

You are responsible for all information and Content you contribute, in any manner, to the Services, and you represent and warrant you have all rights, title and interest necessary to do so, in the manner in which you contribute it. By providing Content in connection with the Services, you grant us a perpetual, irrevocable, non-exclusive, fully-paid, royalty-free, sublicensable, transferable and worldwide license to use, modify, create derivative works of, publicly perform, publicly display, reproduce, disseminate, market, distribute and otherwise exploit the Content in connection with the Services, your Goods, our products, our services, our business, and/or the promotion and marketing of the Services and our business, in any media formats and through any media channels now known or subsequently created. The license granted pursuant to this paragraph includes, without limitation, the right to share your Content with other users of the Services. Further, you acknowledge and agree that Ghost has the right (but not the obligations) to pre-screen, monitor, and/or edit any Content that you or other users provide through the Services, and that Ghost will have the right (but not the obligation), in its sole discretion, to refuse or remove any Content that is provided through the Services; provided that, you acknowledge and agree that you are solely responsible for the accuracy, quality, integrity, legality, reliability, appropriateness, and right to use all such Content. Without limiting the foregoing, Ghost shall have the right to remove any Content that violates these Terms, violates our Prohibited Listings Policy, or is deemed by Ghost, in its sole discretion, to be otherwise inaccurate, inappropriate, offensive, or otherwise objectionable.

The Services may contain links or connect to third party websites or services that are not owned or controlled by Ghost, and the Services may operate on, with or using application programming interfaces (APIs) and/or other services operated or provided to by third parties (collectively, “Third Party Services”), including, without limitation, through integrations or connections to such Third Party Services that are provided by Ghost. When you access Third Party Services, you accept that there are risks in doing so, and that Ghost is not responsible for such risks. The availability of these links on the Services does not constitute an endorsement by Ghost of any Third Party Services.

Ghost has no control over, and assumes no responsibility or makes any representations or warranties for, the content, accuracy, privacy policies, operations, practices of or opinions expressed in any Third Party Services or by any third party that you interact with through the Services. These Terms do not apply to Third Party Services. Any exchange of data or other interaction between you and Third Party Services is solely between you and such third party provider and is governed by such third party’s terms and conditions. Therefore, before visiting a Third Party Services through links or other means provided on or through the Services, you should review the Third Party Services’ terms and conditions and privacy policy, and inform yourself of the regulations, policies, and practices of those Third Party Services. By using the Services, you release and hold us harmless from any and all liability arising from your use of any Third Party Services, including, without limitation, interruption, data loss, or any security incident caused by such Third Party Services.

If there is a dispute or discrepancy between participants on this site or Services, or between users and any third party, you agree that Ghost is under no obligation to become involved. Ghost, in its sole discretion, may step in and attempt to resolve the dispute, however it will do so as a courtesy. In the event that you have a dispute with one or more other users, whether or not Ghost attempts to help the parties come to a resolution, you release Ghost, its directors, officers, employees, agents, members, investors, consultants, contractors, representatives, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. You shall and hereby do waive California Civil Code Section 1542 or any similar law of any jurisdiction, which says in substance: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Will Ghost ever change the Services?

We are always trying to improve our Services, so the Services may change over time. From time to time, Ghost may provide upgrades, patches, enhancements, fixes, or introduce new features for the Services to its customers generally without additional charge (“Updates”), and such Updates will become part of the Services and subject to these Terms; provided that, Ghost shall have no obligation under these Terms or otherwise to provide any such Updates. We may also suspend or discontinue any part of the Services, or we may impose limits on certain features or restrict access to parts or all of the Services. You understand that Ghost may make such improvements and modifications to the Services at any time in its sole discretion; provided that, Ghost shall use commercially reasonable efforts to give you reasonable notice of any major changes that might adversely impact your use of the Services.

Do the Services cost anything?

For more information on the fees owed in connection with the Services, please see the Buyer Terms or Seller Terms, as applicable.

What if you want to stop using the Services?

If you have deleted your Account by mistake, contact us immediately at legal@ghst.io and we will try to help, but unfortunately, we cannot promise that we can recover or restore anything.

By way of example, all of the following will survive termination: all payment obligations, including, without limitation, any fees, charges, taxes, set-offs, and any rights of Ghost to withhold or claw back funds under these Terms or any Buyer Terms or Seller Terms (as applicable), any obligation you have to indemnify us, any limitations on our liability, non-circumvention, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us, including without limitation the arbitration agreement.

The arbitration will proceed in the English language, in accordance with the JAMS Comprehensive Arbitration Rules and Procedures (the “Rules”) then in effect, by one commercial arbitrator with substantial experience in resolving commercial contract disputes. The arbitrator shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction.

(b) Costs of Arbitration. Unless otherwise required by Applicable Law, the prevailing party will be entitled to receive from the non-prevailing party all costs, damages and expenses, including reasonable attorneys’ fees, incurred by the prevailing party in connection with that action or proceeding, whether or not the controversy is reduced to judgment or award. The prevailing party will be that party who may be fairly said by the arbitrator(s) to have prevailed on the major disputed issues.

(c) Small Claims Court; Infringement. Either you or Ghost may assert claims, if they qualify, in small claims court in Los Angeles County, California or any United States county where you live or work. Furthermore, notwithstanding the foregoing obligation to arbitrate disputes, Ghost shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction, to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights.

(d) Waiver of Jury Trial. YOU AND GHOST WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. You and Ghost are instead choosing to have claims and disputes resolved by arbitration. Arbitration procedures are typically more limited, more efficient, and less costly than rules applicable in court and are subject to very limited review by a court. In any litigation between you and Ghost over whether to vacate or enforce an arbitration award, YOU AND GHOST WAIVE ALL RIGHTS TO A JURY TRIAL, and elect instead to have the dispute be resolved by a judge of competent jurisdiction.

(e) Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor Ghost is entitled to arbitration; instead, all claims and disputes will be resolved in a court as set forth in (g) below.

(f) Exclusive Venue. To the extent any dispute is not subject to arbitration under this Agreement, both you and Ghost agree that any judicial proceeding will be brought exclusively in the state or federal courts located in Los Angeles County, California, or the federal district in which that county falls, and each party hereby consents to personal jurisdiction and venue in such courts.

(g) Equitable Relief Carve-Out. Notwithstanding anything to the contrary, Ghost may seek temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction (i) to prevent or remedy fraud, (ii) to enforce or restrain breach of the Non-Circumvention obligations as set forth in any applicable Buyer Terms or Seller Terms, (iii) to address unauthorized use, misuse, or interference with the Services (including platform security, data security, scraping, or reverse engineering), (iv) to prevent misappropriation or infringement of intellectual property or proprietary/confidential information, or (v) to enforce confidentiality obligations. Seeking such relief will not waive Ghost’s right to compel arbitration or to arbitrate any non-equitable claims. The parties also agree that JAMS Emergency Relief Procedures (if applicable) may be invoked in aid of arbitration.

(h) Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed by you within one (1) year after such claim or cause of action arose or be forever barred.

(i) Severability. If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration Agreement section will be null and void. This arbitration agreement will survive the termination of your relationship with Ghost.

Transition from Prior Terms. If you accepted Ghost’s prior Terms of Service (the “Prior Terms”, archived at ghst.io/terms-of-service-6-15-25) before the Effective Date and have not entered into a Buyer Agreement or Seller Agreement (as applicable) with Ghost, then until you do, the provisions of the Prior Terms governing the purchase or sale of Goods (including fees, payment, shipping, returns, representations and warranties, non-circumvention, and indemnification) will continue to apply and will constitute your Buyer Terms or Seller Terms (as applicable) under these Terms. Once you accept the applicable Buyer Agreement or Seller Agreement, it will govern going forward, and the Prior Terms will continue to govern any Purchase Order placed before the date of such acceptance. If you have a separately executed written agreement with Ghost governing your purchases or sales, that agreement constitutes your Buyer Terms or Seller Terms (as applicable). Ghost may require you to accept the applicable Buyer Agreement or Seller Agreement as a condition of placing or accepting any further Purchase Orders.

Miscellaneous. You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that, Ghost may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venturer of Ghost, and you do not have any authority of any kind to bind Ghost in any respect whatsoever. You and Ghost agree that these Terms, together with the Buyer Terms and/or Seller Terms (as applicable), constitute the complete and exclusive statement of the mutual understanding between you and Ghost, and supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter hereof, except as provided in the Transition from Prior Terms section.

You and Ghost agree there are no third party beneficiaries intended under these Terms.
